Terms of Service

Effective Date: 1 January 2026

These Terms of Service (“Terms”) govern the access to and use of software applications, platforms, and services including BayaSense and BayaTrack (collectively, the “Services”) provided by BayaSoft Private Limited (“BayaSoft”, “we”, “us”, or “our”).

By accessing or using our Services through the website https://www.bayasoft.ai or any related domains, applications, gateways, or integrations, you agree to be bound by these Terms.

1. About BayaSoft

BayaSoft Private Limited is an Indian company providing industrial IoT, energy intelligence, and IT infrastructure monitoring solutions. The Services include:

  • BayaSense – Energy monitoring, power quality, and industrial analytics platform

  • BayaTrack – IT infrastructure and system monitoring platform

All Services are owned and operated by BayaSoft Private Limited.

2. Eligibility and Account Responsibility

  • You must be authorized by your organization to access and use the Services.

  • You are responsible for maintaining the confidentiality of login credentials.

  • You are responsible for all activities carried out under your account.

3. Acceptable Use Policy

You agree that you shall NOT:

  • Reverse engineer, decompile, or attempt to derive source code

  • Use the Services for unlawful, unsafe, or unauthorized industrial operations

  • Interfere with system security, integrity, or availability

  • Introduce malware or attempt unauthorized access to data or systems

BayaSoft reserves the right to suspend access for violations of this policy.

4. Data Ownership and Processing

  • All customer operational, sensor, and infrastructure data remains the sole property of the customer.

  • BayaSoft acts as a Data Processor and processes data only to provide the Services.

  • BayaSoft may use aggregated and anonymized data for benchmarking, analytics, and product improvement.

5. Intellectual Property

All software, algorithms, dashboards, visualizations, trademarks, and documentation related to BayaSense, BayaTrack, and BayaSoft are the exclusive intellectual property of BayaSoft Private Limited.

6. Service Availability and SLA Disclaimer

  • Services are provided on an “as-is” and “as-available” basis unless covered by a separate SLA.

  • Planned maintenance may result in temporary downtime.

7. Limitation of Liability

To the maximum extent permitted by law, BayaSoft shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, production downtime, or business interruption

  • Decisions or actions taken based on analytics or recommendations

8. Termination

BayaSoft may suspend or terminate access due to misuse, non-payment, or breach of these Terms.

9. Governing Law

These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction.
